Will I be on the Cap Table if I invest?
No, As a syndicate investor, you are investing in membership units of the SPV. The SPV invests into the company on behalf of its members.
SPV stands for Special Purpose Vehicle which is structured as an LLC. We create a new SPV for each deal that we bring to our investors.
What is the minimum amount I can invest?
Minimums range from $3,000 - $25,000 depending on which syndication you are part of.
Can I participate if I live outside the U.S.?
Yes, you may participate as long as you meet the U.S. SEC accreditation requirements.
Will I pay any fees for investing?
You will be charged a carried interest on any profits made from investing into a deal. The carried interest amount ranges from 20%-30% depending on the performance of the investment. This is called a waterfall carry structure.
